2.Acceptance of Terms
By accessing our website or requesting our Services, you confirm that you have read, understood, and agree to be bound by these Terms.
Our Services are intended for organisations and individuals who are at least 18 years of age and have the legal capacity to enter binding arrangements. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.
If you do not agree with any part of these Terms, please refrain from using our website or engaging our Services.
3.Service Description
Embergrove provides corporate training advisory services to organisations in Malaysia. Our current offerings include:
Single Workshop Session
A focused session on one workplace topic for a small group, including participant materials.
Workshop Series Advisory
A staged set of four workshops tailored to a team's practical needs, with a learning outline and supporting materials.
Learning Programme
A comprehensive engagement across several months, covering twelve sessions with materials and periodic reviews.
Services are available to organisations based in Malaysia. We reserve the right to decline or discontinue a service engagement where we determine it is not aligned with our areas of practice.
4.User Responsibilities
When using our website or engaging our Services, you agree to:
- Provide accurate, current, and complete information when submitting enquiries or entering service arrangements.
- Use our website and materials only for lawful purposes and in a manner consistent with these Terms.
- Ensure that participants in workshop engagements are aware of and abide by the conduct expectations agreed with Embergrove.
- Not reproduce, distribute, or resell workshop materials without express written permission from Embergrove.
Prohibited activities include:
- Misrepresenting your organisation or the purpose of an engagement
- Interfering with the operation of our website or services
- Attempting to access systems or data without authorisation
- Using our services to facilitate activities that are unlawful under Malaysian law
5.Intellectual Property
All content on our website and within our workshop materials — including frameworks, guides, facilitator notes, and session designs — is the intellectual property of Embergrove unless otherwise stated.
We grant you a limited, non-exclusive, non-transferable licence to use materials provided as part of a confirmed service engagement for your internal organisational purposes. This licence does not extend to reproduction for external distribution, resale, or the creation of derivative works.
Any feedback, suggestions, or ideas you share with us in relation to our services may be used by Embergrove without obligation or compensation.
6.Payment Terms
Fees for our services are as outlined during the enquiry and engagement process and are denominated in Malaysian Ringgit (RM).
Invoicing
Invoices are issued upon confirmation of an engagement. Payment terms will be stated on the invoice and agreed upon in writing prior to the engagement commencing.
Payment Methods
We accept payment by bank transfer to a Malaysian bank account. Details will be provided on the invoice. All fees are exclusive of applicable taxes unless stated otherwise.
Cancellations and Rescheduling
Cancellations made at least ten business days before a scheduled session may be eligible for a partial or full fee adjustment at our discretion. Cancellations made with shorter notice may be subject to a charge to cover preparation costs already incurred. Rescheduling requests will be considered where reasonable notice is given.
We do not offer any assurances about specific learning or business outcomes from our services. Fees are for the delivery of the described engagement scope only.
7.Service-Specific Terms
Workshop Engagements
Workshops are designed around the scope confirmed during the engagement process. Changes to participant numbers, topic focus, or logistical arrangements requested after confirmation may require revised terms or additional time to accommodate.
Materials
Participant materials are prepared for the specific engagement and are licensed for internal use by the participating team. They may not be reproduced for other groups or used in other organisations without written permission.
Learning Programme Reviews
Review sessions included in the Learning Programme are scoped to reflect progress within that engagement. They are not transferable to other programmes or engagements.
Confidentiality
Both parties agree to treat commercially sensitive information shared during an engagement as confidential. We will not share your organisational information with third parties except where required to deliver the agreed services or by law.
8.Disclaimers
Our website and services are provided on an "as available" basis. While we take care to ensure the quality and accuracy of our content and service delivery, we make no assurances that:
- The website will be available without interruption or error at all times
- Workshop content will produce any particular learning, operational, or business outcome
- Information on the website is free from inaccuracies at any given moment
Nothing in these Terms constitutes professional advice of a regulated kind. Our services are advisory and educational in nature, focused on strategy, communication, planning, and team learning. For legal, financial, or regulated professional guidance, you should consult an appropriately qualified practitioner.
9.Limitation of Liability
To the fullest extent permitted by Malaysian law, Embergrove's total liability in connection with any claim arising from these Terms or our services shall not exceed the total fees paid by you for the specific engagement to which the claim relates.
We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, loss of business opportunity, or damage to reputation, arising from your use of our website or services.
Force majeure: neither party shall be held liable for delays or non-performance caused by circumstances beyond their reasonable control, including natural events, public health disruptions, or infrastructure failures.
10.Indemnification
You agree to indemnify and hold Embergrove, its advisors, and associated personnel harmless from any claims, losses, or expenses arising from your breach of these Terms, your misuse of our website or materials, or any inaccurate information you provided in connection with an engagement.
11.Termination
Either party may end a service engagement by providing written notice to the other. Specific notice periods and conditions will be set out in the written engagement agreement for each service.
Embergrove reserves the right to suspend or terminate an engagement without prior notice where there has been a material breach of these Terms or where continuing the engagement would be unlawful or impractical.
Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification — will continue to apply.
12.Dispute Resolution
These Terms are governed by the laws of Malaysia. Any disputes arising shall be subject to the exclusive jurisdiction of the Malaysian courts.
Before initiating formal proceedings, we encourage both parties to attempt to resolve any dispute through direct written communication. We will make reasonable efforts to respond to concerns within ten business days.
Where a dispute cannot be resolved informally, mediation or other alternative resolution processes may be considered before escalation to formal proceedings.
13.General Provisions
Entire Agreement: These Terms, together with any written engagement agreement, constitute the entire agreement between you and Embergrove in relation to the subject matter.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Waiver: Failure by either party to enforce a provision does not constitute a waiver of the right to enforce it at a later stage.
Assignment: You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our obligations to an appropriate successor entity.
Notices: Formal notices should be sent in writing to the contact details provided in Section 15.
14.Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. For significant changes, we will endeavour to provide reasonable notice via our website.
Continued use of our website or services after changes take effect constitutes your agreement to the revised Terms. Active engagements will continue under the Terms in place at the time of confirmation unless both parties agree otherwise in writing.
